These Terms govern your access to and use of all content, products, and services available through the Metro Technology Solutions, LLC website (the "Service") operated by Metro Technology Solutions, LLC ("us", "we", or "our").
Your access to our services is subject to your acceptance, without modification, of all terms and conditions contained herein and any additional operating rules or policies we publish from time to time.
Please read this Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use our Services.
Description of Service
Metro Technology Solutions, LLC provides professional technology services, including but not limited to managed IT support, cloud migration and administration, cybersecurity assessments and tooling, infrastructure projects, backup and disaster recovery planning, and related consulting ("Services"). Specific deliverables, timelines, fees, and service levels are defined in a Statement of Work ("SOW"), order form, or managed services agreement executed by both parties.
Payment Terms
Fees are due as stated in your agreement. Recurring services are typically invoiced monthly in advance. Late payment may result in suspension of Services or finance charges as permitted by law. Unless otherwise stated in writing, fees for completed professional services are non-refundable once work has commenced.
Client Obligations
The client will provide timely access to personnel, facilities, credentials, documentation, vendor contacts, and change windows reasonably required for Metro Technology Solutions, LLC to perform the Services. Delays in providing such access may affect schedules and outcomes. The client represents that it has the rights and licenses necessary for us to work with its systems and data.
Intellectual Property
Upon full payment, the client receives the usage rights to custom deliverables identified in the SOW. Metro Technology Solutions, LLC retains ownership of pre-existing materials, proprietary tools, templates, training content, and generalized methodologies. Either party may reference the relationship in marketing materials unless otherwise agreed in writing.
Confidentiality
Each party will protect the other's non-public information using the same degree of care it uses for its own similar information, but no less than reasonable care. This obligation survives termination of the agreement for the period set forth in the underlying contract or, if silent, for three years.
Termination
Unless your agreement states otherwise, either party may terminate recurring Services with thirty (30) days written notice. We may suspend or terminate access immediately if you materially breach these Terms or create a security or legal risk to Metro Technology Solutions, LLC or other clients.
Disclaimer of Warranties
Our Services are provided "AS IS" and "AS AVAILABLE." Metro Technology Solutions, LLC and its suppliers disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. While we apply skilled judgment, we cannot guarantee specific business outcomes, uninterrupted uptime, or that third-party platforms will remain free of defects.
Limitation of Liability
To the maximum extent permitted by law, Metro Technology Solutions, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from or related to the Services, even if advised of the possibility. Our aggregate liability for any claim arising out of the Services will not exceed the fees paid to Metro Technology Solutions, LLC for the Services giving rise to the claim during the twelve (12) months preceding the event, except where limitation is prohibited by law.
Changes
Metro Technology Solutions, LLC may modify these Terms by posting updates on the Site. Material changes will include at least thirty (30) days notice when feasible. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
